Record of Commission Vote: On December 11, 2024, the Commission voted unanimously (5-0) to close the meeting. 16 C.F.R. § 1013.4(c).
Commission’s Explanation of Closing: This meeting may be properly closed under Exemptions 3, 4, 7, 9 and 10; 16 CFR § 1013.4(b)(3), (4), (7), (9) and (10). This meeting will involve discussion of the following: (1) matters specifically exempted from disclosure by statute (other than 5 U.S.C. 552) (Exemption 3); (2) trade secrets and commercial or financial information obtained from a person and privileged or confidential (Exemption 4); (3) investigatory records to the extent that the production of such records or information would (a) interfere with enforcement proceedings and (b) disclose investigative techniques and procedures (Exemption 7); (4) information the premature disclosure of which is likely to frustrate implementation of a proposed agency action (Exemption 9); and (5) the Agency's issuance of a subpoena, or the Agency's participation in a civil action or proceeding … or the initiation, conduct, or disposition by the Agency of a particular case of formal agency adjudication pursuant to the procedures in 5 U.S.C. 554 or otherwise involving a determination on the record after opportunity for hearing (exemption 10). In voting to close the meeting, the Commission has determined that, on balance, considering the relative advantages and disadvantages to the public of conducting the meeting in open or closed session, the public interest would best be served by closing the meeting based on the Exemptions identified. The General Counsel has certified that the meeting may be properly closed to the public under the referenced exemptions.
